By using this Watsons Trading Portal (“Portal”), the Supplier (“you”) acknowledges and agrees to be bound by the following Terms of Use without limitation or qualification. Please read these conditions carefully before using this Portal. These Terms of Use may be revised at any time and by continuing to use this Portal you are bound by the revisions. Therefore you are advised to periodically visit this page to review the most updated Terms of Use.

Account Registration and Login Information1.1 Only suppliers authorized by Watson’s Personal Care Stores Sdn Bhd (“Watsons”) are permitted to access and use this Portal. Watson’s notifies a supplier of its authorization via email; this email notification also includes a link for registering individual users. There is no legal claim to authorization. Watson’s is free to revoke an authorization, stating the grounds for such action, or to block associated user accounts.1.2 The right conferred by such authorization is the supplier's sole right to register individual employees of the supplier's company as users of the Portal. The supplier is responsible for ensuring that the users provide complete and accurate information within the scope of the registration process. The supplier shall, in particular, provide notice without delay if the users' right to represent the supplier for their access to the Portal should lapse.1.3 Within the scope of the registration process, each user is required to set up a password for his or her login name (login name and password hereinafter collectively "Login Information").1.4 The supplier is responsible for ensuring that the users' Login Information is not disclosed to any third parties. The supplier shall also ensure that third parties are not given any opportunity to view the Portal, including any form of screenshots or printouts.1.5 The supplier shall take reasonable steps to protect all Login Information of its users against any unauthorized access by third parties. The supplier shall be responsible for all activities performed on the Portal under the users' Login Information, unless the supplier can prove that the information has become known to third parties without any fault on the supplier's part. If and insofar as the supplier becomes aware that third parties are abusing the Login Information, the supplier shall notify Watson’s thereof without delay.1.6 After receiving a notice pursuant to Sec. 1.5 above, Watson’s shall block access to the password- protected area using this Login Information. The block will not be removed until the supplier makes a separate request to that effect to Watson’s or after a re-registration takes place.

Termination2.1 Watson’s reserves the right to remove suppliers which have been previously registered on the Portal at any time and without providing reasons, and additionally reserves the right to block the Supplier’s access to the Portal.2.2 In the event Watson’s exercises its right to remove or block suppliers access to the Portal, Watsons or the Portal is discontinued, Watson's shall delete all supplier/user data including all other stored personal data of the supplier as soon as such data is no longer required for purposes of accessing Portal.2.3 Suppliers may, at any time and without providing reasons, request deletion of their registration and inclusion to the Portal. Deletion of all data transmitted to Watson’s shall take place to the extent that this does not preclude ongoing contractual relationships. In such event, Watson’s shall delete all supplier/user data together with all other stored personal data of the Supplier as soon as such data is no longer required for purposes of accessing the Portal.

Intellectual Property RightsAll trademarks, service marks, trade names, logos, and icons are proprietary to Watson’s. Nothing contained on this Portal should be construed as granting, by implication, estoppel, or otherwise, any license or right to use any trademark displayed on this website without the written permission of Watson’s. Your use of the trademarks displayed on this Portal, or any other content on this Portal, except as provided herein, is strictly prohibited. Images displayed on this Portal are either the property of, or used with the permission by Watson’s. The use of these images by you, or anyone else authorized by you, is prohibited unless specifically permitted by Watson’s. Any unauthorized use of images may violate copyright laws, trademark laws, the laws of privacy and publicity, and communications regulations and statutes.

Limitation of LiabilityWhile Watson’s uses reasonable efforts to include accurate and up-to-date information on this Portal, errors or omissions sometimes occur. To the fullest extent permissible pursuant to applicable law, Watson’s makes no warranties or representations as to the accuracy of the content of this Portal and under no circumstances, including, but not limited to, negligence, shall Watson’s or any party involved in creating, producing, or delivering this Portal be liable to you for any direct, incidental, consequential, indirect, or punitive damages that result from the use of, or the inability to use, the materials on this Portal, even if Watson’s or a Watson’s authorized representative has been advised of the possibility of such damages. Watson’s also assumes no responsibility, and shall not be liable for, any damages to, or viruses that may infect, your computer equipment or other property as a result of your access to and/or use of this Portal or your downloading of any materials, data, text, images, video, or audio from the Portal.

Security of InformationUnfortunately, no data transmission over the Internet can be guaranteed as totally secure. Whilst Watsons strive to protect such information, it does not warrant and cannot ensure the security of any information which is transmitted by you to Watsons. Accordingly, any information transmitted by you is transmitted at your own risk.

Governing LawThese Terms of Use shall be governed in accordance with the laws of Malaysia, and any disputes will be decided only by the Courts of Malaysia.
